These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", "your") and Bright Future Ecommerce (Business Registration No. 1419156-1), operating under the trade name Marketplace Labs ("Company", "we", "us", "our"), located at 35682 Timberlane Dr., Abbotsford BC V3G 1L6, Canada.
By engaging our services, visiting our website at www.marketplacelabs.ca, or authorizing Marketplace Labs to access your Amazon seller accounts through Amazon's official API programs, you acknowledge that you have read, understood and agree to be bound by these Terms.
If you do not agree to these Terms you must not use our services or authorize access to your Amazon accounts.

To deliver our services Marketplace Labs operates a proprietary internal dashboard platform that connects to Amazon's official API programs. This platform is an internal operational tool used exclusively by authorized Marketplace Labs team members. Specifically, our platform integrates with:
Access to these APIs is obtained through Amazon's official authorization process and is used solely to provide agency services to our clients. The platform is not made available to third parties and is not a commercial software product.
Our platform includes an AI-powered analysis engine and chat assistant that processes client account data to generate recommendations, identify trends and answer questions about account performance. All AI-generated recommendations are reviewed by our team before any action is taken on client accounts.
We provide services across multiple Amazon marketplaces including but not limited to Canada (amazon.ca), United States (amazon.com), United Kingdom (amazon.co.uk), Germany (amazon.de), France (amazon.fr), Italy (amazon.it), Spain (amazon.es) and Australia (amazon.com.au).
By engaging our services you represent, warrant and agree that:
To provide our services you will be required to authorize Marketplace Labs to access your Amazon seller account data through Amazon's official OAuth authorization process. By completing this authorization you grant us permission to access your account data as described in Section 2.
We will only request API permissions that are necessary to provide the specific services agreed upon. We will not request, use or store permissions beyond the scope of our agreed services.
All data accessed through your Amazon account via API authorization is used exclusively for internal agency operations to manage and optimize your account. This data will never be:
You may revoke our API access at any time through your Amazon Seller Central account settings. Revocation of access will be treated as termination of services under Section 10 of these Terms.
All API usage by Marketplace Labs is conducted in full compliance with Amazon's Developer Agreement, Marketplace Developer Agreement, Advertising API Terms of Service and all other applicable Amazon policies. We are committed to maintaining our authorized developer status and will immediately notify clients of any changes to our API access status.
We treat all client data, including Amazon account data accessed via API, as strictly confidential. All Marketplace Labs team members who have access to client data are bound by confidentiality obligations.
We implement industry-standard security measures to protect client data including encrypted storage of API credentials, access controls, secure data transmission and regular security reviews of our internal platform.
We retain client account data only for as long as is necessary to provide our services and meet legal obligations. Upon termination of our relationship we will securely delete or return all client data within 30 days unless required by law to retain it longer.
All Amazon account data remains the property of the client at all times. Marketplace Labs does not claim any ownership rights over client data. We are a data processor acting on behalf of our clients as data controllers.
Fees for Marketplace Labs services are agreed upon individually with each client prior to commencement of services. Specific fee arrangements, payment schedules and billing terms will be outlined in a separate service agreement or engagement letter provided to each client.
The Marketplace Labs proprietary dashboard platform, including all software, algorithms, AI models, designs, interfaces and technology, is the exclusive intellectual property of Bright Future Ecommerce. Nothing in these Terms grants you any rights to our technology or platform.
All product listings, images, descriptions, brand assets and other content belonging to the client remain the exclusive intellectual property of the client. You grant us a limited license to use this content solely for the purpose of providing our services.
All content on www.marketplacelabs.ca including text, graphics, logos and design elements is the property of Bright Future Ecommerce and may not be reproduced without written permission.
Amazon may change its platform, algorithms, policies, API access or terms of service at any time without notice. Marketplace Labs is not responsible for any impact that Amazon platform changes may have on your account performance or our ability to provide services.
While we are committed to delivering the best possible results for our clients, we do not guarantee specific advertising performance outcomes, sales figures or revenue targets. Amazon marketplace performance is subject to many factors outside our control including market conditions, competition, seasonality and Amazon's own algorithms.
Our services depend on the availability of Amazon's API programs. We are not responsible for service interruptions caused by Amazon API downtime, maintenance or access restrictions.
To the maximum extent permitted by applicable law, Marketplace Labs' total liability to you for any claims arising from or related to these Terms or our services shall not exceed the total fees paid by you to us in the three months preceding the claim.
You agree to indemnify, defend and hold harmless Marketplace Labs, Bright Future Ecommerce, and their respective officers, directors, employees and agents from and against any claims, damages, losses, costs and expenses (including legal fees) arising from:
You may terminate our services at any time by providing written notice to Gurpreet@marketplacelabs.ca and revoking our API access through your Amazon Seller Central account. Termination notice periods and any applicable fees will be as specified in your individual service agreement.
We reserve the right to terminate our services at any time with reasonable notice if:
Upon termination we will immediately cease all activities on your Amazon accounts, revoke our own API access, and return or securely delete all your data within 30 days. Any outstanding fees will remain payable.
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising from these Terms or our services will first be subject to good faith negotiation between the parties. If a dispute cannot be resolved through negotiation it will be submitted to binding arbitration in Abbotsford, British Columbia, Canada in accordance with applicable arbitration rules.
Marketplace Labs is an independent Amazon agency and is not affiliated with, endorsed by or officially partnered with Amazon.com, Inc. or any of its subsidiaries. The Amazon brand, trademarks and logos are the property of Amazon.com, Inc.
Our use of Amazon's APIs is conducted under Amazon's Developer Agreement and all applicable Amazon terms of service. Clients remain solely responsible for their own Amazon seller accounts and their compliance with Amazon's policies.
We reserve the right to update these Terms at any time. When we make material changes we will update the "Last Updated" date at the top of this page and notify active clients by email. Continued use of our services after updated Terms are posted constitutes acceptance of the revised Terms.
These Terms, together with any individual service agreement or engagement letter provided to you, constitute the entire agreement between you and Marketplace Labs regarding our services and supersede all prior discussions, representations or agreements.
If any provision of these Terms is found to be unenforceable the remaining provisions will continue in full force and effect.
